Fairchild Semiconductor to sell $350.0 Million in Notes

Fairchild Semiconductor International (South Portlant, ME) announced its intent to sell $350.0 million principal amount of 10.5 percent senior subordinated notes due 2009. The net proceeds of the issuance will be used for the purchase of Intersil Corp.'s discrete power business.

The notes are being sold to qualified institutional buyers in reliance on Rule 144A and outside the US in compliance with Regulation S under the Securities Act of 1933. The notes will not be registered under the Securities Act. Unless so registered, the Notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
