Exide Technologies Approves Proposals

The shareholders of Exide Technologies (Princeton, NJ) approved three proposals at the company's annual meeting.

The shareholders elected Francois J. Castaing, Rodney L. Chadwick, John A. James, Robert A. Lutz, Heinrich Meyr, Jody G. Miller and Craig H. Muhlhauser to the company's board of directors. These directors will serve until the 2002 annual meeting of stockholders or until their successors are elected.

In addition, the shareholders approved the issuance of up to 20 million shares of Exide Technologies common stock, or securities convertible to common stock, to be exchanged for some or all of the debt securities of Exide Technologies and its subsidiary Exide Holding Europe.

Finally, the stockholders also approved the amendment of Exide Technologies' certificate of incorporation to increase the total number of authorized shares of common stock from 60 million shares to 100 million shares.
