Reliant Energy Inc. (Houston, TX), sole stockholder of Reliant Energy Resources Corp. (Houston, TX), became a wholly owned subsidiary of CenterPoint Energy Inc., according to a Form 8-K filed with the Securities and Exchange Commission. Each share of common stock of Reliant Energy was converted into one share of common stock of CenterPoint Energy.
According to the filing, as part of the restructuring, Reliant Energy conveyed its Texas electric generation assets and certain buildings and assets to wholly owned subsidiaries, and Reliant Energy Inc. was converted into a Texas limited liability company named CenterPoint Energy Houston Electric LLC. In addition to the restructuring, Reliant Energy Resources's 6.25 percent convertible junior subordinated debentures and six-percent convertible subordinated debentures due 2012, became convertible into CenterPoint Energy.
