Lite-On Semiconductor to Acquire Antek Semiconductor

Lite-On Semiconductor Corp. (Taipei, Taiwan, ROC), a discrete-IC specialist, will acquire foundry firm Antek Semiconductor in a share swap that will entail exchanging one Lite-On Semiconductor share for every 4.5 Antek shares. Shareholders from both companies have approved the deal, which is expected to be completed by June 1, 2005.

The acquisition will give Lite-On access to Antek’s fab capacity and technologies, including bi-polar, BiCMOS and high-voltage CMOS process technologies, and provide Lite-On with a complete solution platform for its discrete product group. Antek’s 6 in fab currently has capacity to process 37,000 6 in wafers per month. Lite-On’s discrete products currently include power-rectifier and power-management ICs. Lite-On is also planning to leverage Antek’s process technology and capacity to venture into power-MOSFET production. In addition, Lite-On may be able to tap into business with the Yulong Group, a Taiwan car-manufacturing firm and a major shareholder in Antek, for its discrete products.
